Overview

Welcome to Closterra. These Terms of Service ("Terms") govern your access to and use of closterra.com, our online store, and all related information, content, features, tools, products, and services that we make available through the website (collectively, the "Services").

Throughout these Terms, "Closterra," "we," "us," and "our" refer to Closterra. "You" and "your" refer to any visitor, customer, account holder, or other person who accesses or uses the Services.

Our store is hosted by Shopify, which provides the ecommerce platform that enables us to offer the Services to you. Purchases made through our store are transactions directly between you and Closterra.

These Terms incorporate by reference our Privacy Policy, Refund Policy, Shipping & Delivery Policy, and, when you purchase a subscription, our Subscription Policy, together with any product-specific or promotion-specific terms shown to you before purchase. If a specific policy or offer term conflicts with these Terms, the more specific term will control for that subject.

Please read these Terms carefully. They include important information about your legal rights, remedies, and obligations, including warranty disclaimers and limitations of liability.

By accessing, browsing, interacting with, or using the Services, creating an account, or placing an order, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use the Services.

Nothing in these Terms excludes, restricts, or modifies any right, remedy, guarantee, warranty, or other protection that cannot lawfully be excluded, restricted, or modified under applicable law.

Section 1 - Eligibility, Access, and Accounts

You must be at least the age of majority in your state or other jurisdiction of residence to create an account or place an order. If you allow a minor dependent to access the Services using a device you own or manage, you are responsible for supervising that use. Products involving an open flame must be used only with appropriate adult supervision and in accordance with all safety instructions.

You may use the Services only for lawful purposes and only if your use is not prohibited by applicable law.

To browse the store, create an account, place an order, or use certain features, you may be asked to provide information such as your name, email address, billing information, payment information, and shipping address. You represent that the information you provide is accurate, current, complete, and that you have the right to provide it.

You are responsible for maintaining the confidentiality and security of your account credentials and for activity that occurs through your account. Notify us promptly at info@closterra.com if you believe your account has been accessed or used without authorization.

You may not transfer, sell, assign, or license your account to another person. We may refuse registration, require a password reset, suspend access, or close an account when reasonably necessary to protect the Services, our customers, or Closterra.

Section 2 - Product Information and Availability

We make reasonable efforts to describe and display our products accurately. Product pages should be reviewed carefully before purchase, including the stated dimensions, quantity, color, materials, approximate burn time, holder guidance, care instructions, and safety information.

Closterra's taper candles are intentionally thin or slim and may be substantially narrower than regular dinner tapers. The exact size and fit information shown on the applicable product page controls for that product.

Because beeswax is a natural material and many of our products are made or finished by hand, minor variations in color, surface texture, dimensions, and appearance may occur. Colors may also appear differently depending on your screen, device settings, lighting, and display configuration. These natural or display-related variations are not defects unless the product materially differs from its description or applicable law provides otherwise.

We do not guarantee that a product's appearance will match your personal expectations or appear exactly as shown on every screen. This does not limit any rights you may have if a product is defective, damaged, materially misdescribed, or otherwise does not conform to an applicable legal guarantee.

Products, descriptions, prices, quantities, and availability may change without notice. We may discontinue a product, limit purchase quantities, or restrict sales to a person, household, geographic region, or jurisdiction when reasonably necessary. All products are subject to availability, and placing an item in a cart does not reserve it.

Section 3 - Product Use and Candle Safety

Candles involve an open flame and must be used with care. You agree to read and follow the warning label, product instructions, holder guidance, and care information provided with or displayed for each product.

At a minimum:

  • Never leave a burning candle unattended.
  • Keep burning candles away from children, pets, drafts, fans, vents, flammable materials, and anything that can catch fire.
  • Use a stable, upright, heat-resistant holder that securely fits the candle.
  • Place the holder on a level, heat-safe surface.
  • Trim the wick as directed before lighting.
  • Do not move or handle a candle while it is burning or while the wax is hot.
  • Stop use if the candle, holder, or surrounding area becomes unsafe.

Any educational, symbolic, spiritual, ritual, meditation, wellness, or lifestyle content provided through the Services is for general informational purposes only. It is not medical, mental-health, legal, religious, or professional advice, and no candle or related content is offered as a guarantee of a personal, spiritual, health, financial, or other outcome.

Your failure to follow product warnings or reasonable fire-safety practices may result in property damage or personal injury. Nothing in this section limits liability that cannot lawfully be limited.

Section 4 - Orders and Acceptance

When you submit an order, you are making an offer to purchase the products in your cart under these Terms. An automated order confirmation acknowledges that we received your order; it does not necessarily mean that we have accepted it.

We accept an order when we send a shipping confirmation or otherwise expressly confirm acceptance. Payment authorization or collection may occur before acceptance. If we decline or cancel an order after payment has been collected, we will issue the appropriate refund to the original payment method.

We may decline, limit, or cancel an order for legitimate reasons, including product unavailability, an error in product or pricing information, payment authorization problems, suspected fraud or misuse, shipping restrictions, unusually large quantities, or suspected unauthorized resale. We will attempt to notify you using the email address, billing information, shipping information, or telephone number provided with the order.

Review your order carefully before submitting it. Changes and cancellations may be possible only before shipment and are governed by our Shipping & Delivery Policy. Contact info@closterra.com as soon as possible with your order number and requested change.

If we cannot ship within the time stated at purchase or in our Shipping & Delivery Policy, we will provide notice and, when required by applicable law, give you the option to consent to the delay or cancel the unshipped order for a prompt refund.

Returns, exchanges, damaged items, and refunds are governed by our Refund Policy and Shipping & Delivery Policy, in addition to any non-waivable rights available under applicable law.

Products purchased through the Services are for personal, household, religious, organizational, or other end use and not for commercial resale unless we have separately authorized resale or entered into a wholesale agreement with you.

Section 5 - Subscriptions and Recurring Purchases

Certain products may be offered as subscriptions or other recurring purchase arrangements. Before you subscribe, the product page, cart, checkout, or subscription interface will display the material terms of the offer, which may include the product, delivery frequency, recurring price, discount, shipping terms, minimum commitment, renewal period, and the deadline and method for changing or canceling future orders.

By purchasing a subscription, you authorize Closterra and its payment service providers to charge the payment method you provide for the initial purchase and each recurring order, including applicable taxes and shipping charges, until the subscription is canceled or otherwise ends.

Your subscription continues and renews according to the terms shown when you enroll unless you cancel it in accordance with our Subscription Policy. You are responsible for maintaining accurate account, shipping, billing, and payment information.

You may manage or cancel future subscription renewals using the method described in the Subscription Policy or the subscription-management tools made available to you. Unless applicable law, the Subscription Policy, or the offer terms state otherwise, canceling a subscription stops future renewals but does not cancel an order that has already been processed or shipped.

We may change a subscription price, discount, product, frequency option, or other material term only after providing any advance notice and obtaining any consent required by applicable law. If a subscribed product becomes unavailable, we may pause or cancel the affected subscription and notify you. We will not substitute a materially different product without your authorization.

Any free-shipping benefit for subscription orders is governed by the current Shipping & Delivery Policy and the terms displayed at checkout.

Section 6 - Prices, Promotions, and Billing

Unless otherwise stated, prices on the Services are listed in U.S. dollars. Prices, discounts, availability, and promotions may change without notice, but a change will not alter the price of an order we have already accepted except where required to correct an obvious error and permitted by law.

The price charged will be the price displayed at checkout when you place the order, subject to order acceptance and correction of obvious errors. Unless expressly stated otherwise, displayed product prices do not include applicable sales tax, shipping, handling, or other charges. Any applicable charges will be shown before you complete checkout.

Prices and offers on closterra.com may differ from those available through third-party marketplaces or sellers. A promotion may be governed by additional terms. If promotion-specific terms conflict with these Terms, the promotion-specific terms control for that promotion.

You agree to provide current, complete, and accurate account, purchase, billing, shipping, and payment information. You agree to update that information promptly so that we can complete transactions and contact you when needed.

By providing a payment method, you represent that you are authorized to use it and authorize us and our payment service providers to charge all amounts shown at checkout. You remain responsible for valid charges, including applicable taxes and shipping fees.

We may use third-party payment processors. Your payment may also be subject to the terms and privacy practices of the applicable payment provider.

Section 7 - Shipping and Delivery

Our current shipping destinations, free-shipping thresholds, carriers, processing times, estimated transit times, tracking procedures, address rules, and damaged- or lost-package procedures are described in our Shipping & Delivery Policy.

Processing and transit times are estimates unless expressly stated otherwise. Carrier delays, severe weather, holidays, service interruptions, incorrect or incomplete addresses, and other circumstances may affect delivery.

We are not responsible for a delay caused solely by a carrier or event beyond our reasonable control after we have shipped the order on time. However, this does not limit our obligation to provide notices, cancellation options, refunds, replacements, or other remedies required by applicable law or expressly provided by our policies.

Unless applicable law requires otherwise, risk of loss passes to you when the carrier records the package as delivered to the shipping address provided with your order. This does not limit our procedures for packages that are damaged in transit, lost before delivery, or delivered incorrectly, as described in our Shipping & Delivery Policy.

You are responsible for providing a complete and accurate shipping address. We are not responsible for delays or losses caused by an incorrect or incomplete address after the order has shipped, except to the extent required by applicable law.

Section 8 - Returns, Exchanges, and Refunds

Eligibility, time limits, condition requirements, exclusions, return instructions, return-shipping responsibility, exchanges, and refund timing are described in our Refund Policy.

Contact us before returning a product unless the Refund Policy instructs otherwise. Unauthorized returns may be delayed or refused to the extent permitted by law.

Refunds are generally issued to the original payment method. Processing time may vary depending on the payment provider or financial institution.

Nothing in our Refund Policy or these Terms limits any non-waivable right or remedy available for products that are defective, damaged, materially misdescribed, recalled, or otherwise nonconforming under applicable law.

Section 9 - Intellectual Property

The Services and their Closterra-authored or Closterra-owned content, features, and functionality — including text, product descriptions, photographs, graphics, logos, icons, video, audio, layout, selection, arrangement, and design — are owned by Closterra or used under license and are protected by applicable U.S. and international intellectual property laws.

User-submitted content and third-party materials remain subject to the rights of their respective owners. Nothing in these Terms transfers ownership of your original content to Closterra, except for the license you grant in Section 14.

Subject to these Terms, Closterra grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Services for lawful personal and non-commercial shopping purposes.

Without our prior written permission, you may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, sell, license, download, systematically store, or transmit material from the Services, except for ordinary browser caching or a single copy made for your personal, non-commercial records where permitted by law.

Closterra's names, logos, product names, service names, designs, and slogans are trademarks or other protected identifiers of Closterra or its licensors. Shopify's names, logos, product names, service names, designs, and slogans are trademarks of Shopify. Other names and marks belong to their respective owners. No license to use any trademark is granted except as expressly stated.

All rights not expressly granted are reserved.

Section 10 - Optional Tools and Third-Party Services

The Services may provide access to tools, applications, payment methods, tracking services, subscription-management features, social-media features, or other services operated by third parties.

We may not monitor or control every third-party tool. To the fullest extent permitted by law, access to an optional third-party tool is provided "as is" and "as available" without endorsement or a separate warranty from Closterra.

Your use of a third-party tool may be subject to that provider's terms and privacy policy. Review those terms before using the tool. You use optional third-party tools at your own discretion and risk, subject to any rights that cannot lawfully be waived.

We may introduce new features, tools, or resources. Unless separate terms are provided, they form part of the Services and are governed by these Terms.

Section 11 - Third-Party Links and Marketplaces

The Services may contain links to, content from, or functionality provided by third parties. We do not control and are not responsible for the content, accuracy, availability, security, or practices of third-party websites and services.

If you leave the Services or interact with a third party, you do so subject to the third party's terms and privacy practices. Review them before completing a transaction or providing information.

Closterra products may also be offered through third-party marketplaces such as Etsy, Walmart, or eBay. Purchases made on a third-party marketplace are also governed by that marketplace's checkout terms, policies, payment processes, and dispute procedures. Questions about a marketplace transaction should be submitted through the applicable marketplace channel when required, although you may also contact us for reasonable assistance.

We are not responsible for third-party products, services, resources, or content merely because they are linked or displayed through the Services. This disclaimer does not apply to Closterra's own obligations as the seller of a Closterra product.

Section 12 - Relationship with Shopify

Closterra is powered by Shopify, which enables us to provide the Services. However, sales and purchases made through our store are made directly between you and Closterra.

To the fullest extent permitted by law, Shopify is not responsible for any aspect of a sale between you and Closterra, including any injury, damage, or loss arising from a product purchased from Closterra. You release Shopify and its affiliates from claims arising solely from or related to purchases and transactions with Closterra, except to the extent a claim results from Shopify's own conduct or cannot lawfully be released.

Section 13 - Privacy

Our collection, use, disclosure, retention, and protection of personal information is described in our Privacy Policy.

Because the Services are hosted by Shopify, Shopify also collects and processes personal information relating to your access to and use of the Services. Shopify's handling of consumer personal information is described in the Shopify Consumer Privacy Policy.

Information submitted through the Services may be transmitted to and processed by Shopify, payment providers, carriers, analytics providers, service providers, and other partners, including in countries other than your country of residence, as described in the applicable privacy policies.

By using the Services, you acknowledge that you have had an opportunity to review these privacy policies. Consent will be requested separately where applicable law requires consent for a particular processing activity.

Section 14 - Feedback, Reviews, and Other Submissions

If you submit, upload, post, email, or otherwise provide a review, photograph, comment, idea, suggestion, proposal, plan, or other content ("User Content"), you retain any ownership rights you hold in that User Content.

You grant Closterra a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to host, store, reproduce, adapt, edit, translate, publish, distribute, display, and otherwise use the User Content in connection with operating, improving, marketing, and promoting Closterra and the Services, in any media, subject to our Privacy Policy and applicable law. This license lasts for as long as reasonably necessary for those purposes or for the duration of the applicable intellectual property rights, unless applicable law requires otherwise.

Where permitted by law, you waive moral rights or similar rights in the User Content to the extent necessary for the licensed uses.

You represent that:

  • You own the User Content or have all permissions needed to provide it and grant the license above.
  • The User Content is accurate to the best of your knowledge and is based on your genuine experience where it is presented as a review.
  • You have clearly disclosed any compensation, free product, discount, or other incentive connected with the submission.
  • The User Content does not violate any law, these Terms, another person's intellectual property, privacy, publicity, contractual, or other rights.
  • The User Content does not contain unlawful, defamatory, threatening, abusive, obscene, deceptive, malicious, or harmful material, malware, or unauthorized advertising.

You may not use a false identity or email address, impersonate another person, or mislead us or other users about the origin of User Content.

We are not required to keep User Content confidential, pay for it, publish it, retain it, or respond to it. We may monitor, reject, edit, restrict, or remove User Content that we reasonably believe violates these Terms, applicable law, or the rights or safety of another person. We are not responsible for opinions expressed by other users.

Section 15 - Errors, Inaccuracies, and Omissions

Occasionally, the Services may contain typographical errors, inaccuracies, or omissions relating to product descriptions, dimensions, quantities, colors, pricing, promotions, shipping charges, transit times, or availability.

We may correct errors, update information, or cancel or adjust an affected order before acceptance or fulfillment. If an error materially affects an order after payment, we will notify you and provide any refund, cancellation option, or other remedy required by applicable law.

We are not obligated to update or clarify information except as required by law, but we may do so at any time. No displayed update date should be interpreted to mean that every item of information has been modified or reviewed on that date.

Section 16 - Prohibited Uses

You may use the Services only for lawful purposes. You may not access or use the Services, directly or indirectly:

  • For an unlawful, fraudulent, deceptive, abusive, or malicious purpose.
  • To violate any international, federal, state, provincial, territorial, or local law or regulation.
  • To infringe or violate Closterra's rights or the rights of another person, including intellectual property, privacy, publicity, or contractual rights.
  • To harass, abuse, threaten, defame, intimidate, discriminate against, or harm another person.
  • To submit false, misleading, or fraudulent information.
  • To impersonate another person or misrepresent your identity or affiliation.
  • To send spam, phishing messages, chain letters, unauthorized advertising, or similar solicitations.
  • To upload, transmit, or distribute malware, viruses, malicious code, or other harmful material.
  • To gain or attempt to gain unauthorized access to an account, system, network, or data.
  • To interfere with the security, availability, integrity, or operation of the Services or another website.
  • To scrape, crawl, spider, harvest, or systematically collect content or personal information, except through a publicly documented interface or with our written permission.
  • To reproduce, duplicate, copy, sell, resell, or exploit any portion of the Services in violation of these Terms.
  • To circumvent access controls, purchase limits, security features, or fraud-prevention measures.
  • To engage in conduct that restricts another person's use or enjoyment of the Services or that may expose Closterra, Shopify, our service providers, or users to harm or liability.

We may investigate suspected violations and may suspend, restrict, or terminate access when reasonably necessary. We may preserve and disclose information when required by law or reasonably necessary to protect rights, safety, and security, subject to our Privacy Policy.

Section 17 - Termination

You may stop using the Services at any time. Closing an account or stopping use of the Services does not automatically cancel a product subscription; subscriptions must be canceled through the method described in the Subscription Policy.

We may suspend or terminate your account or access to all or part of the Services if you materially breach these Terms, create a security or legal risk, engage in fraud or abuse, or if we discontinue the relevant Service. Where reasonable and legally required, we will provide notice.

Termination does not affect rights or obligations that arose before termination, including payment obligations for accepted orders.

Provisions that by their nature should survive termination will survive, including Intellectual Property; Feedback, Reviews, and Other Submissions; Termination; Disclaimer of Warranties; Limitation of Liability; Indemnification; Severability; Waiver and Entire Agreement; Assignment; Governing Law and Disputes; and accrued payment obligations.

Section 18 - Disclaimer of Warranties

The information presented through the Services is provided for general informational purposes. We do not warrant that all information will always be complete, current, or error-free. Any reliance on general informational content is at your own risk.

EXCEPT FOR ANY EXPRESS WARRANTY PROVIDED BY CLOSTERRA AND TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES AND PRODUCTS OFFERED THROUGH THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT REPRESENTATIONS, WARRANTIES, OR CONDITIONS OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL ALWAYS BE AVAILABLE, UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT EVERY DEFECT WILL BE CORRECTED.

THIS SECTION DOES NOT EXCLUDE OR LIMIT:

  • ANY EXPRESS PRODUCT PROMISE WE MAKE;
  • YOUR RIGHTS UNDER OUR REFUND POLICY;
  • LIABILITY FOR A DEFECTIVE, DAMAGED, OR MATERIALLY MISDESCRIBED PRODUCT WHERE IT CANNOT LAWFULLY BE EXCLUDED; OR
  • ANY STATUTORY WARRANTY, GUARANTEE, OR CONSUMER RIGHT THAT CANNOT LAWFULLY BE WAIVED.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY EXCLUSIONS, SO SOME OR ALL OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

Section 19 - Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CLOSTERRA AND ITS AFFILIATES, PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, OR REPLACEMENT COSTS, ARISING OUT OF OR RELATING TO THE SERVICES, THESE TERMS, OR A PRODUCT PURCHASED THROUGH THE SERVICES, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANOTHER THEORY, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE.

TO THE FULLEST EXTENT PERMITTED BY LAW, CLOSTERRA WILL NOT BE LIABLE FOR LOSS OR DAMAGE CAUSED SOLELY BY:

  • YOUR FAILURE TO FOLLOW PRODUCT WARNINGS, CANDLE-CARE INSTRUCTIONS, OR REASONABLE FIRE-SAFETY PRACTICES;
  • UNAUTHORIZED ACCESS RESULTING FROM YOUR FAILURE TO PROTECT ACCOUNT CREDENTIALS;
  • THIRD-PARTY CONTENT, TOOLS, OR WEBSITES OUTSIDE OUR CONTROL; OR
  • A CARRIER DELAY OR EVENT BEYOND OUR REASONABLE CONTROL, SUBJECT TO OUR SHIPPING OBLIGATIONS AND APPLICABLE LAW.

NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY FOR FRAUD, WILLFUL MISCONDUCT, GROSS NEGLIGENCE WHERE IT CANNOT BE LIMITED, DEATH OR PERSONAL INJURY WHERE CAUSED BY LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED, OR ANY OTHER LIABILITY OR CONSUMER RIGHT THAT CANNOT BE EXCLUDED OR LIMITED.

BECAUSE SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SOME OR ALL OF THESE LIMITATIONS MAY NOT APPLY TO YOU. IN THOSE JURISDICTIONS, LIABILITY IS LIMITED ONLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

Section 20 - Indemnification

To the extent permitted by law, you agree to indemnify, defend, and hold harmless Closterra, Shopify, and their respective affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from third-party claims, losses, damages, liabilities, judgments, costs, and reasonable attorneys' fees arising from:

  • Your material breach of these Terms or a policy incorporated by reference.
  • Your unlawful or fraudulent use of the Services.
  • Your violation of another person's rights.
  • User Content you submit.
  • Your willful misconduct.

Your indemnification obligation applies only to the extent the claim was caused by your conduct and does not require you to indemnify a party for that party's own fraud, willful misconduct, gross negligence, or other liability that cannot lawfully be shifted to you.

We will provide reasonably prompt notice of an indemnified claim. A delay in notice will relieve you of an obligation only to the extent the delay materially prejudices your defense. We may control the defense and settlement of the claim with counsel of our choice, but we will not agree to a settlement that imposes a non-monetary obligation or admission on you without your consent, which will not be unreasonably withheld. You agree to provide reasonable cooperation in the defense.

Section 21 - Severability

If any provision of these Terms is held unlawful, void, or unenforceable, that provision will be enforced to the fullest extent permitted by law and the unenforceable portion will be severed. The remaining provisions will remain in effect.

Section 22 - Waiver and Entire Agreement

Our failure to exercise or enforce a right or provision of these Terms does not waive that right or provision.

These Terms, together with the policies and specific terms incorporated by reference, constitute the entire agreement between you and Closterra concerning the Services and supersede prior or contemporaneous communications and proposals concerning the same subject.

If a provision in a policy or product-specific, subscription-specific, or promotion-specific term conflicts with these Terms, the more specific provision controls for that subject. Nothing in this section limits a representation or obligation that cannot lawfully be disclaimed.

Section 23 - Assignment

You may not assign, delegate, or transfer these Terms or your rights or obligations under them without our prior written consent. Any unauthorized attempt is void to the extent permitted by law.

We may assign or transfer these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, change of control, or transfer of the relevant business, or as otherwise permitted by law. Any assignment does not reduce your non-waivable rights.

Section 24 - Governing Law and Disputes

These Terms and any dispute arising out of or relating to them, the Services, or a purchase from Closterra are governed by the laws of the State of Illinois and applicable federal law, without regard to conflict-of-law principles.

Subject to any right you have under applicable law to bring a claim in another forum, you and Closterra consent to the personal jurisdiction of the state courts located in DuPage County, Illinois, and the United States District Court for the Northern District of Illinois.

Nothing in this section prevents either party from seeking relief in small claims court where the claim qualifies, or from seeking temporary or emergency relief from a court of competent jurisdiction.

This section does not deprive you of any mandatory protection provided by the law of your state or country of residence that applies regardless of a contractual choice of law or forum.

We may update these Terms by posting a revised version to the Services. When we make material changes, we will update the "Last updated" date and provide any additional notice required by applicable law.

Changes apply prospectively from the effective date stated in the notice or revised Terms. They do not retroactively change the terms of an order we already accepted unless applicable law permits the change and any required consent is obtained.

Your continued use of the Services after revised Terms take effect constitutes acceptance of the revised Terms to the extent permitted by law. If you do not agree to the revised Terms, you must stop using the Services. Changes to an active subscription are also subject to the Subscription Policy and applicable notice and consent requirements.
